1. Acceptance of Terms

By accessing or using PortFlow (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including individuals and organizations.

2. Description of Service

PortFlow is a cloud-based maritime agency management platform that provides tools for managing port operations, vessel registrations, quotations, invoices, crew documentation, and related services. The Service is provided on a subscription basis.

3. Account Registration

To use PortFlow, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at info@portflow.tech

You must be at least 18 years old and have the authority to bind your organization to these terms.

4. Acceptable Use

You agree not to use PortFlow to:

• Violate any applicable laws or regulations
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or copy any part of the platform
• Resell or sublicense the Service without written permission
• Use the Service for any fraudulent or deceptive purpose

5. Intellectual Property

PortFlow and all its components — including but not limited to software, design, trademarks, and documentation — are the exclusive property of PortFlow and its creator, Jeffry Valerio. All rights reserved.

Your data remains yours. You retain full ownership of all data you input into the platform. By using the Service, you grant PortFlow a limited license to store and process your data solely for the purpose of providing the Service.

6. Subscription and Payment

PortFlow is offered on a subscription basis. Subscription plans, pricing, and billing terms are described at the time of purchase. By subscribing, you authorize us to charge the applicable fees.

• Subscriptions renew automatically unless cancelled
• You may cancel at any time; access continues until the end of the billing period
• No refunds are provided for partial billing periods unless required by applicable law
• We reserve the right to change pricing with 30 days notice

7. Data and Privacy

Your use of PortFlow is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data and handling it responsibly.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice when possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PortFlow and its creator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

Either party may terminate the agreement at any time. We reserve the right to suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases. You may request an export of your data within 30 days of termination.

12. Governing Law

These Terms are governed by the laws of the Republic of Costa Rica, without regard to its conflict of law provisions. For users in the European Union, applicable EU consumer protection laws also apply.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the application at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance.
