Terms of Service

1. Acceptance of Terms
By accessing or using PortFlow (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including individuals and organizations.
2. Description of Service
PortFlow is a cloud-based maritime agency management platform that provides tools for managing port operations, vessel registrations, quotations, invoices, crew documentation, and related services. Commercial access is provided under a written software license, API agreement, or digital-concession agreement tailored to the customer's scope.
3. Account Registration
To use PortFlow, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use at info@portflow.tech
You must be at least 18 years old and have the authority to bind your organization to these terms.
4. Trial Period, Demo Data and Trial Output
The free trial. New accounts receive a 14-day free trial with access to evaluate the platform. No payment is required during the trial, and the trial does not create a paid commercial agreement automatically.
What happens when it ends. At the end of the 14 days your account moves to a limited-access state. Your data stays where it is and is not deleted. To continue using the service, request a tailored quote and execute the applicable commercial agreement.
Pre-loaded demo content. To help you evaluate the platform, new accounts are created with sample content: fictitious clients, vessels, service rates, quotations and an operation. This content is generated by PortFlow, does not represent real counterparties or transactions, and exists solely so that the interface is not empty on first use.
It is not removed automatically. Activating a commercial agreement leaves the sample content in place, and there is no self-service button to clear it. To have it removed, email support@portflow.tech and our team will delete it for you. Until then, treat any client, vessel, rate, quotation or operation you did not create yourself as sample data.
Trial output is not an accounting record. Any document produced by the platform while your account is on trial — including quotations, invoices, disbursement accounts, PDF exports and financial reports — is generated for evaluation purposes only. These documents are not intended to satisfy the invoicing, tax or accounting record-keeping requirements applicable under Costa Rican law, and must not be used to bill a client, support a tax filing, respond to an audit, or serve as a commercial or accounting record.
Your own data is preserved. Information you enter yourself during the trial — your vessels, clients, rates and crew — remains yours and is retained if you continue under a commercial agreement. You are responsible for reviewing it before relying on it in a commercial workspace.
5. Acceptable Use
You agree not to use PortFlow to:
- Violate any applicable laws or regulations
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to other accounts or systems
- Reverse engineer, decompile, or copy any part of the platform
- Resell or sublicense the Service without written permission
- Use the Service for any fraudulent or deceptive purpose
6. Intellectual Property
PortFlow and all its components — including but not limited to software, design, trademarks, and documentation — are the exclusive property of PortFlow and its creator, Jeffry Valerio. All rights reserved.
Your data remains yours. You retain full ownership of all data you input into the platform. By using the Service, you grant PortFlow a limited license to store and process your data solely for the purpose of providing the Service.
7. Licensing and Payment
PortFlow prepares a tailored quote after reviewing the requested software license, API access, digital concession, implementation, and support scope. Commercial access begins only under the written agreement accepted by the customer.
- Fees, payment timing, term, renewal, and termination are defined in the applicable written agreement
- No recurring charge or automatic renewal applies unless it is expressly included in that agreement
- Requests to change or end commercial access may be sent to support@portflow.tech and will be handled according to the agreement
- Refunds and price changes are governed by the written agreement and applicable law
8. Data and Privacy
Your use of PortFlow is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data and handling it responsibly.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice when possible.
10. Limitation of Liability
To the maximum extent permitted by applicable law, PortFlow and its creator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the three (3) months preceding the claim.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Termination
Either party may terminate the agreement at any time. We reserve the right to suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases.
Your data is not deleted automatically when an account is closed, and no countdown starts. There is no self-service export of a whole account; the application exports per module, in CSV or XLSX. To obtain a copy of your data, or to have it deleted, email support@portflow.tech and our team will assemble it by hand. Our Privacy Policy sets out what is kept and what cannot be deleted.
13. Dispute Resolution
Informal resolution first. Before filing a formal claim, contact us at support@portflow.tech with the details. We will attempt to resolve the dispute within two business days of receiving it.
If a dispute is not resolved informally, it may be submitted to the competent courts identified in the next section. Nothing here prevents either party from seeking urgent injunctive relief.
14. Governing Law
These Terms are governed by the laws of the Republic of Costa Rica, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts of San José, Costa Rica.
For users in the European Union, applicable EU consumer protection laws also apply, and nothing in this section removes a protection those laws grant you that cannot be waived by agreement.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the application at least 14 days before changes take effect. Continued use of the Service after changes constitutes acceptance.
